Terms of use
1. The agreement
These terms govern your use of Theory of Edge (the Studio), the trading algos that ship with it (NinjaTrader 8 for the futures edition, MetaTrader 5 and cTrader for the CFD edition), and this website (together, the "Software"). By subscribing or by using the Software you accept them. If you do not accept them, do not use the Software.
2. What you are buying
A subscription gives you a personal, non-exclusive, non-transferable license to install and run the Software on computers you own or control, for your own trading research, for as long as the subscription is active. The license covers updates released during the subscription.
You are not buying strategies, signals, data or results. The Software is a tool: it generates, tests and assembles strategies from the data you give it, according to the settings you choose.
3. Subscription, price and cancellation
The subscription is billed monthly at the price shown on the pricing page at the time you subscribe, taxes excluded where applicable. It renews automatically each month until you cancel. You can cancel at any time; access continues until the end of the paid period and no further charge is made.
Payments are processed by Stripe, which acts as the reseller of the subscription and calculates and collects the applicable taxes at checkout. The only refund is for a license that does not work: if the Software cannot be activated or run on a supported setup (Windows 10 or 11, with NinjaTrader 8 for the futures edition, or MetaTrader 5 or cTrader for the CFD edition), the payment for the period concerned is refunded on request. Apart from that case and from what the law of your country imposes, fees already paid are not refunded, in whole or in part.
Right of withdrawal (European Union and EEA). The Software is digital content supplied immediately. On the activation screen of the Studio, you expressly request that your access starts immediately and you acknowledge that you lose your 14-day right of withdrawal once your license is activated. The license server records that consent (time, IP address, country, text version) and a confirmation is sent to your e-mail address. A new subscription starts with a 24-hour free trial; a payment card is required, and the first payment is taken when the trial ends unless you cancel before. The number of active licenses is limited; when the limit is reached, new subscriptions are placed on a waiting list.
3b. Territories
The Software is offered to residents of the countries where Stripe processes payments, the European Union and the European Economic Area included, except countries subject to United States sanctions.
4. What you may not do
- share, resell, rent or sublicense your license or license key;
- reverse engineer, decompile or extract the engine, except where the law expressly permits it;
- remove or circumvent the license verification;
- use the Software to provide a signal service, a managed account or any service to third parties without a separate written agreement;
- use the Software in a way that breaks the law or the terms of your data provider, broker or trading platform.
5. Your data and your results
Everything the Software produces on your machine (strategies, genomes, databanks, portfolios, exports) belongs to you. You are responsible for the market data you load, for the settings you choose, and for any decision to trade a strategy, on a demo account, a live account or a prop-firm account.
6. No investment advice, no guarantee of results
The Software and this website provide analysis tools and software documentation. They do not provide investment, financial, legal or tax advice. Backtests, Monte Carlo simulations, walk-forward results and prop-firm simulations are hypothetical and have inherent limitations; past performance, simulated or real, is not indicative of future results. Nothing in the Software or on this website guarantees that a strategy will be profitable, will pass an evaluation, or will behave live as it did in a backtest. See the risk disclosure.
7. Third-party software and trademarks
The Software works with NinjaTrader 8, MetaTrader 5 and cTrader, each licensed to you separately by its publisher (NinjaTrader, LLC; MetaQuotes Ltd; Spotware Systems Ltd) under its own terms. NinjaTrader is a registered trademark of NinjaTrader, LLC; MetaTrader is a trademark of MetaQuotes Ltd; cTrader is a trademark of Spotware Systems Ltd. Theory of Edge is not affiliated with, endorsed by or sponsored by any of them, any exchange, broker or prop firm.
8. Availability and support
The Software is provided as is and as available. We work to fix bugs and to keep the Software compatible with current versions of NinjaTrader 8, MetaTrader 5, cTrader and Windows, but we do not guarantee uninterrupted operation, compatibility with every setup, or a response time for support.
9. Limitation of liability
To the fullest extent permitted by law, we are not liable for trading losses, lost profits, lost data, evaluation fees, or any indirect or consequential damage arising from the use of the Software or from reliance on its results. Where liability cannot be excluded, it is limited to the subscription fees you paid in the twelve months preceding the claim.
10. Termination
We may suspend or terminate a license that is shared, resold or used in breach of these terms. You may terminate at any time by cancelling the subscription. Sections 5 to 9 survive termination.
11. Changes to these terms
We may update these terms when the Software or the service changes. Material changes are announced on this page at least 30 days before they apply to existing subscribers. Continuing to use the Software after that date means you accept the new terms.
12. Governing law
These terms are governed by the law of the country in which the publisher of the Software is established, without prejudice to the mandatory consumer protection rules of the country in which you live.
13. Partner program
The partner program is open to everyone: you create a partner account from the partner space and accept this section when you do.
- Commission. 30% of every payment made by a customer who subscribed through your referral link, taxes excluded, for as long as that customer stays subscribed. A customer is credited to you when they subscribe within 90 days of their last visit through your link; the last partner link used wins. Purchases made by yourself are not credited.
- Availability and payment. A commission becomes available 14 days after the payment it comes from. You request a payout from the partner space, with no minimum amount; payouts are made by bank transfer only, after we check the request, to the bank details you entered. You are responsible for the accuracy of those details and for declaring your income.
- Refunds and disputes. A refunded or disputed payment cancels its commission. If that commission was already paid out, the same amount is deducted from your next payouts.
- Rules. You may present Theory of Edge however you like, with three exceptions: (1) no fake testimonials and no invented results; (2) no promise of gains, income or results; (3) nothing that the law forbids where you or your audience are, which includes disclosing that you are paid for the promotion whenever the advertising and consumer protection rules require it.
- End. We may end a partnership at any time, in particular after a breach of this section. Commissions already available and not obtained by a breach remain payable; no commission is earned on payments made after the end.
