Terms of use
1. The agreement
These terms govern your use of Theory of Edge (the Studio), the NinjaTrader 8 strategy that ships with it, and this website (together, the "Software"). By subscribing or by using the Software you accept them. If you do not accept them, do not use the Software.
2. What you are buying
A subscription gives you a personal, non-exclusive, non-transferable license to install and run the Software on computers you own or control, for your own trading research, for as long as the subscription is active. The license covers updates released during the subscription.
You are not buying strategies, signals, data or results. The Software is a tool: it generates, tests and assembles strategies from the data you give it, according to the settings you choose.
3. Subscription, price and cancellation
The subscription is billed monthly at the price shown on the pricing page at the time you subscribe, taxes excluded where applicable. It renews automatically each month until you cancel. You can cancel at any time; access continues until the end of the paid period and no further charge is made.
All sales are final. Fees already paid are not refunded, in whole or in part, except where the law of your country requires it. There is no trial version. The number of active licenses is limited; when the limit is reached, new subscriptions are placed on a waiting list.
3b. Territories
The Software is offered to residents of countries that are not subject to United States sanctions. It is not offered to residents of the European Union and the European Economic Area for the moment; we do not guarantee that it will become available there.
4. What you may not do
- share, resell, rent or sublicense your license or license key;
- reverse engineer, decompile or extract the engine, except where the law expressly permits it;
- remove or circumvent the license verification;
- use the Software to provide a signal service, a managed account or any service to third parties without a separate written agreement;
- use the Software in a way that breaks the law or the terms of your data provider, broker or trading platform.
5. Your data and your results
Everything the Software produces on your machine (strategies, genomes, databanks, portfolios, exports) belongs to you. You are responsible for the market data you load, for the settings you choose, and for any decision to trade a strategy, on a demo account, a live account or a prop-firm account.
6. No investment advice, no guarantee of results
The Software and this website provide analysis tools and software documentation. They do not provide investment, financial, legal or tax advice. Backtests, Monte Carlo simulations, walk-forward results and prop-firm simulations are hypothetical and have inherent limitations; past performance, simulated or real, is not indicative of future results. We make no promise that any strategy produced by the Software will be profitable, will pass any evaluation, or will behave live as it did in a backtest. See the risk disclosure.
7. Third-party software and trademarks
The Software works with NinjaTrader 8, which is licensed to you separately by NinjaTrader, LLC under its own terms. NinjaTrader is a registered trademark of NinjaTrader, LLC. Theory of Edge is not affiliated with, endorsed by or sponsored by NinjaTrader, LLC, any exchange, broker or prop firm.
8. Availability and support
The Software is provided as is and as available. We work to fix bugs and to keep the Software compatible with current versions of NinjaTrader 8 and Windows, but we do not guarantee uninterrupted operation, compatibility with every setup, or a response time for support.
9. Limitation of liability
To the fullest extent permitted by law, we are not liable for trading losses, lost profits, lost data, evaluation fees, or any indirect or consequential damage arising from the use of the Software or from reliance on its results. Where liability cannot be excluded, it is limited to the subscription fees you paid in the twelve months preceding the claim.
10. Termination
We may suspend or terminate a license that is shared, resold or used in breach of these terms. You may terminate at any time by cancelling the subscription. Sections 5 to 9 survive termination.
11. Changes to these terms
We may update these terms when the Software or the service changes. Material changes are announced on this page at least 30 days before they apply to existing subscribers. Continuing to use the Software after that date means you accept the new terms.
12. Governing law
These terms are governed by the law of the country in which the publisher of the Software is established, without prejudice to the mandatory consumer protection rules of the country in which you live.
